Terms of Service

These terms govern your use of the SteadyShelf Shopify app and steadyshelf.app (the "Service"), operated by Ian Cushing, a sole proprietor in Tennessee, USA ("SteadyShelf", "we"). By installing or using the Service you agree to them.

1. The Service

SteadyShelf analyzes your Shopify sales and inventory data to suggest reorder quantities, order-by dates and draft purchase orders. All outputs are suggestions, not guarantees. Forecasts depend on your data and on future demand, which can change. You are responsible for reviewing every suggestion and for all purchasing decisions. SteadyShelf never places orders with suppliers on your behalf.

2. Billing

The Service costs $29 per month after a 30-day free trial, billed through Shopify. Charges are handled under Shopify's billing terms. You can cancel at any time by uninstalling the app. Fees already billed are non-refundable except where required by law.

3. Your data

You own your store data. You grant us a limited license to process it only to provide the Service, as described in our Privacy Policy.

3a. Data processing

For personal data of your customers that we receive through Shopify, you are the controller and SteadyShelf is your processor. We process it only to provide the Service and on your instructions (installing and using the app). We store only aggregated sales quantities per product and date, never customer names, emails, phone numbers or addresses. We keep it confidential, protect it with encryption in transit and at rest, use only the subprocessors listed in our Privacy Policy, notify you without undue delay of any breach affecting your data, help you respond to data subject requests, and delete your data within 48 hours of Shopify's shop redaction request after uninstall.

4. Acceptable use

Don't misuse the Service, attempt to access other merchants' data, reverse engineer it, or use it in violation of law or Shopify's terms.

5. Availability and changes

We aim for high availability but don't guarantee uninterrupted service. We may change or discontinue features with reasonable notice.

6. Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND ACCURACY OF FORECASTS.

7. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SteadyShelf WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST SALES, STOCKOUTS, EXCESS INVENTORY OR SUPPLIER COSTS. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM.

8. Indemnity

You agree to indemnify SteadyShelf against claims arising from your use of the Service or your purchasing decisions.

9. Termination

You may stop using the Service at any time. We may suspend accounts that violate these terms.

10. Governing law

These terms are governed by the laws of the State of Tennessee, USA. Any disputes will be resolved in the state or federal courts located in Tennessee.
